Terms and Conditions

In an ideal world, lengthy Terms & Conditions wouldn’t be needed. However, to ensure fairness and consistency, these agreements are necessary. We’re committed to handling any issues under our b-agile Terms and Conditions with transparency, care, and fairness, prioritizing your peace of mind.

1. Definitions
“We”, “b-agile” or “us”: refers to Bagile Limited (Company Registration No: 12515579). b-agile is our brand name.
“You”: Any (legal) entity or person that has reached an agreement with us.
“Agreement”: Arrangement in written or digital recording, based on which you indicate participation in a selected workshop or course offering.
“Course”: Any training, workshop, or event offered by us or our partners, advertised through ‘bagile.co.uk’, ‘Scrum.org’, affiliated social media, or third-party booking tools. This list is not exhaustive. “Force majeure”: Any external cause, expected or unexpected, determined by the courts of England and Wales.

2. Applicability
2.1. b-agile Terms and Conditions apply to all agreements that come into effect by initiating a registration for one of the events offered by us on our website or platforms used by us.
2.2. By entering into an agreement with us, you agree to these full Terms & Conditions.
2.3. Our Terms & Conditions will continue to apply in perpetuity even when we do not strictly enforce them.
2.4. These terms and conditions supersede any of your purchase conditions unless confirmed in written form by us.

3. Agreement
3.1. The agreement between you and b-agile starts after you receive our written confirmation of individual or corporate registration.
3.2. Full payment for course participation is required before attending. ‘Before attending’ is defined as ten calendar days before the event start date/time or immediately if the start date is sooner.
3.3. No refunds will be available for participants who fail to attend all days of the course.3.4. We shall not be responsible for any other loss incurred by you as a result of a cancellation or reschedule. Additionally, we recommend that you check with us before booking any non-refundable travel arrangements to confirm that the class is confirmed to run as scheduled.
3.5. Attendance and submission to certifying bodies. Many of our courses are accredited by external certifying bodies (including Scrum.org and ICAgile). Under the terms of our licence agreements with these bodies, we may only submit attendees who have completed the full course. Where an attendee misses a small portion (typically up to one hour in total), the trainer may, at their discretion, still submit the attendee. Where an attendee misses a substantial portion of the course, we will be unable to submit them to the certifying body. This means they will not receive certification eligibility, any included assessment attempt(s), or any digital badge associated with the course. No refund will be issued in these circumstances (see also 3.3).

4. Cancellation

4.1. You may cancel your participation up to ten days before an in-person course or five days before a virtual course. In such cases, we will refund the full invoiced amount (less any costs incurred by us). If you cancel with less than the required notice, 50% of the course fee will be refunded. Cancellation must be received in writing and confirmed by us.
4.2. If, except in cases of force majeure, b-agile cancels the course, all course fees will be refunded in full. No costs incurred, directly or indirectly at your expense, will be refunded.
4.3. We reserve the right to decline a request for re-arrangement. However, we will make every effort to accommodate such changes, requiring ten days’ notice for in-person courses and five days’ notice for virtual courses. Re-scheduling will be free of charge unless there is a difference in cost between the two events, in which case the difference will be payable in full, as per clause 3.2.
4.4. We will not compensate you for any costs you incur, either directly or indirectly, as a result of your request to re-schedule a course or due to cancellation initiated by b-agile or by you.
4.5. Each class has a minimum viability of three participants. If this number is not met 48 hours prior to the start of the class, it will be canceled or deferred. If canceled, there will be a full refund of all fees paid, while upholding clauses 4.2 and 4.4.
4.6. If b-agile cancels a course and you choose to transfer to a future date instead of receiving a refund, any subsequent cancellation by you will be subject to the cancellation terms of the new course date:

• For in-person courses, up to ten days before the new course date: Full refund of the invoiced amount (less any costs incurred by us)
• For virtual courses, up to five days before the new course date: Full refund of the invoiced amount (less any costs incurred by us)
• Less than the required notice: 50% of the course fee will be refunded

5. Private Courses and Participant Numbers

5.1. For private or in-house courses, final participant numbers must be confirmed at least 14 calendar days prior to the course start date.
5.2. Significant reductions in participant numbers after this point (more than 10%) may result in the original agreed pricing being upheld, or a partial refund issued at b-agile’s discretion, depending on the nature of costs already committed (e.g. trainer allocation, travel, accommodation, or opportunity cost).
5.3. b-agile reserves the right to revise pricing for private courses based on confirmed participant numbers, provided this is communicated and agreed before the 14-day confirmation deadline.
5.4. Where higher numbers were expected or communicated and delivery was planned accordingly (e.g. two trainers assigned), b-agile may retain original pricing if reductions are communicated later than 14 days before delivery.
5.5. We always aim to be flexible where possible, but in cases where delivery requires multiple trainers or higher resource commitment, flexibility may be more limited due to the impact on scheduling and cost.
5.6. For private courses, the person booking gives us each delegate’s name and work email address so that we can register them with the certifying body and send joining details. By giving us these details you confirm that you are entitled to share them and that you have told delegates how we will use them, as described in our Privacy Policy.
5.7. After a private course we may invite delegates to join our updates. Delegates are added to our mailing list only if they choose to join.

6. Prices
6.1. All prices exclude VAT and administrative fees for the handling of registrations unless specified.
6.2. Prices are based on the circumstances applicable at the time of registration. If the circumstances change after your registration, b-agile retains the right to adjust the prices accordingly.
6.3. VAT is charged at the standard UK rate on all bookings, including virtual courses. The only exception is for overseas businesses who provide a valid VAT registration number at checkout, which qualifies for zero-rating (reverse charge) under UK VAT rules. UK-based bookings and bookings made by individuals always include VAT, regardless of course format.

7. Liability and Indemnity
7.1. We, b-agile, are not liable, on the basis of the law or under the agreement, for consequential loss that you or a third party might suffer regarding the performance of the agreement or (the use of) the courses, including but not limited to loss of profits, environmental damage, or intangible loss. In all events, our liability is limited to the invoiced amount.
7.2. Unless the damage is caused by intention or gross negligence on our part, you will indemnify us from all claims of third parties, directly or indirectly related to the performance of the agreement, or as the case may be the courses, and will compensate us for all damage that we suffer as a result of such claims.
7.3. We reject any responsibility for issues, bugs, delays, or lack of clarity caused by the intermediate platforms we use for handling registrations or payments.

8. Intellectual Property
8.1. The intellectual properties of all materials that are made available to you before, during, or after a course remain entirely with b-agile or, where relevant, with our licensor.
8.2. You are not allowed to disclose any of the materials mentioned under
8.1 unless you have our explicit written permission.

9. Applicable Law
9.1. These Terms and Conditions and the provision of our services shall be governed by and construed in accordance with the laws of England and Wales.
9.2. Any dispute arising out of these Terms and Conditions and our services shall exclusively be submitted to the courts of England and Wales.
